Terms of Service

These Terms of Service ("Terms") are a contract between you ("you", "Customer") and Drive Off Shield ("DriveOffShield", "we", "us", "our"). Drive Off Shield is a product of CodeNinja Pty Ltd · ABN 60 160 205 863 · ACN 160 205 863 · Berwick VIC, Australia

By signing up for, or using, the Drive Off Shield service ("Service"), you agree to these Terms. If you don't agree, don't use the Service.


1. The Service

Drive Off Shield is a software-as-a-service platform that helps Australian petrol and service station operators detect, record, and recover losses from fuel drive-offs. The Service has three tiers:

  • FREE Tier — self-serve, no hardware, manual plate entry and receipt uploads.
  • SHIELD Up — full automation with installed ANPR cameras.
  • Enterprise — multi-site operators, custom pricing.

Features available to you depend on the tier you have subscribed to.


2. Who can use the Service

To use the Service you must:

  • Operate a petrol station, service station, or similar commercial fuel retailer in Australia, or be authorised by someone who does.
  • Be at least 18 years old.
  • Have the legal authority to enter into these Terms on behalf of your business.

We may refuse to provide the Service to anyone, for any lawful reason.


3. Your account

You are responsible for:

  • Keeping your login credentials secure
  • All activity that happens under your account
  • Making sure the information you give us is accurate and up to date

Tell us straight away at hello@driveoffshield.com if you suspect unauthorised access to your account.


4. Acceptable use

You agree to use the Service only for legitimate fuel-retail loss-prevention purposes. You must not:

  • Use the Service to harass, stalk, or unlawfully surveil any person
  • Upload drive-off records you know to be false or that you have not properly verified
  • Use NEVDIS data for any purpose other than loss prevention at your site
  • Re-sell, sub-license, or redistribute Service data to third parties without our written consent
  • Reverse-engineer, decompile, or attempt to extract source code
  • Use the Service to violate any law, including Australian privacy and consumer-protection laws
  • Attempt to interfere with the security or integrity of the Service

We may suspend or terminate accounts that breach these rules.


5. The shared drive-off database

The Service includes access to, and contributions to, a shared database of drive-off records contributed by Drive Off Shield customers.

By using the Service, you grant Drive Off Shield a perpetual, royalty-free licence to include drive-off records you upload (including plate numbers, dates, times, amounts, and any associated images you submit) in the shared database, and to make those records available to other customers in the form described in our Privacy Policy.

You confirm that you have the legal right to upload each drive-off record you submit and that the record is accurate to the best of your knowledge.

6. NEVDIS data

NEVDIS lookups are provided through an authorised broker. NEVDIS data:

  • Is provided "as is" — accuracy depends on the source data held by state and territory registries.
  • May not reflect changes that have not yet been published to NEVDIS.
  • Must be used only for the purpose of operating your business and preventing loss at your site.
  • May be cached and shared between Drive Off Shield customers for up to 30 days, in line with our Privacy Policy.

We are not responsible for any decisions you make based on NEVDIS data.


7. Pricing, payment and credits

FREE Tier

The FREE Tier is offered at no recurring cost. NEVDIS lookups are paid per query via the credit-pack system. Credits do not expire but are non-refundable except as required by Australian Consumer Law.


SHIELD Up

SHIELD Up costs A$300 per month per site plus a A$1,700 one-time setup fee per site (hardware, installation, and configuration). All prices are in Australian dollars and include GST unless stated otherwise.


Enterprise

Pricing is set out in your separate order form or agreement with us.


Billing

  • Subscriptions are billed monthly in advance via Stripe.
  • The one-time setup fee is charged at the point of order.
  • Late payments may attract suspension of the Service after written notice.
  • Credit packs are purchased upfront via Stripe and credited to your account on receipt of payment.


Refunds

  • Setup fees are refundable if we are unable to install at your site, less any costs we have already incurred.
  • Monthly subscription fees are not refundable for partial months.
  • Credit packs are not refundable except as required by Australian Consumer Law (see Section 11).


Changes to pricing

We may change pricing with at least 30 days' written notice to existing customers. Existing fixed-term agreements are not affected until renewal.


8. Hardware (SHIELD Up only)

Where SHIELD Up includes installed hardware:

  • Hardware is supplied and installed by us or our certified partner.
  • Title in the hardware passes to you on payment of the setup fee.
  • You are responsible for keeping the hardware powered, connected to the internet, and free from damage or tampering.
  • Hardware comes with a 12-month warranty against manufacturing defects, on top of any statutory rights under Australian Consumer Law.


9. Term and termination

These Terms start when you sign up and continue until terminated.

You can cancel SHIELD Up with 30 days' written notice. The FREE Tier can be cancelled at any time from your account dashboard.

We can terminate or suspend your account immediately if:

  • You materially breach these Terms and do not fix the breach within 14 days of notice
  • You become insolvent or enter external administration
  • Continued service exposes us to legal or regulatory risk

On termination:

  • Your access to the Service ends.
  • We will return or delete your customer data within 90 days, subject to Section 5 (shared database) and our legal record-keeping obligations.
  • You remain liable for any fees accrued up to termination.


10. Warranties and disclaimers

We will provide the Service with reasonable skill and care and aim for high uptime, but we do not guarantee the Service will be uninterrupted, error-free, or that it will catch every drive-off or correctly identify every plate.

The Service is a decision-support tool, not a guarantee against loss. You remain responsible for decisions made at your site, including any decision to confront, refuse service to, or report a customer.

Except as set out in Section 11, the Service is provided "as is" and we exclude all other warranties to the maximum extent permitted by law.


11. Australian Consumer Law

Nothing in these Terms limits, excludes, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot be excluded by contract.

Our goods and services come with guarantees that cannot be excluded under Australian Consumer Law. For major failures with the Service you are entitled to cancel and a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage.


12. Liability

To the maximum extent permitted by law, and subject to Section 11:

  • Neither party is liable to the other for indirect, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or anticipated savings.
  • Our total aggregate liability to you in any 12-month period is limited to the fees you have paid us in that period, or A$5,000, whichever is greater.

This limit applies whether the claim is in contract, tort (including negligence), under statute, or on any other basis.


13. Confidentiality

Each party agrees to keep the other's confidential information confidential and use it only for the purposes of these Terms. This obligation continues for 3 years after termination. It does not apply to information that is public, independently developed, or required to be disclosed by law.


14. Intellectual property

We own all intellectual property in the Service, including software, designs, documentation, and the shared drive-off database (as a compilation). You own the data you upload, subject to the licence in Section 5.

You grant us a non-exclusive, royalty-free licence to use your business name and logo to identify you as a customer in our marketing materials, unless you tell us in writing that you don't want us to.


15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to customers by email at least 30 daysbefore they take effect. Your continued use of the Service after the change date constitutes acceptance.


16. General

  • Governing law: These Terms are governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria.
  • Assignment: You may not assign your rights without our consent. We may assign ours to an affiliate or to an acquirer of our business.
  • Notices: Notices to us go to hello@driveoffshield.com. Notices to you go to the email address on your account.
  • Entire agreement: These Terms, together with the Privacy Policy and any order form, are the entire agreement between us on this subject.
  • Severability: If any clause is found to be unenforceable, the rest of the Terms continue in effect.
  • No waiver: A failure to enforce a right is not a waiver of it.
