These Terms of Service ("Terms") are a contract between you ("you", "Customer") and Drive Off Shield ("DriveOffShield", "we", "us", "our"). Drive Off Shield is a product of CodeNinja Pty Ltd · ABN 60 160 205 863 · ACN 160 205 863 · Berwick VIC, Australia
By signing up for, or using, the Drive Off Shield service ("Service"), you agree to these Terms. If you don't agree, don't use the Service.
1. The Service
Drive Off Shield is a software-as-a-service platform that helps Australian petrol and service station operators detect, record, and recover losses from fuel drive-offs. The Service has three tiers:

2. Who can use the Service
To use the Service you must:

You agree to use the Service only for legitimate fuel-retail loss-prevention purposes. You must not:

5. The shared drive-off database
The Service includes access to, and contributions to, a shared database of drive-off records contributed by Drive Off Shield customers.
By using the Service, you grant Drive Off Shield a perpetual, royalty-free licence to include drive-off records you upload (including plate numbers, dates, times, amounts, and any associated images you submit) in the shared database, and to make those records available to other customers in the form described in our Privacy Policy.
You confirm that you have the legal right to upload each drive-off record you submit and that the record is accurate to the best of your knowledge.
6. NEVDIS data
NEVDIS lookups are provided through an authorised broker. NEVDIS data:

7. Pricing, payment and credits
FREE Tier
The FREE Tier is offered at no recurring cost. NEVDIS lookups are paid per query via the credit-pack system. Credits do not expire but are non-refundable except as required by Australian Consumer Law.
SHIELD Up
SHIELD Up costs A$300 per month per site plus a A$1,700 one-time setup fee per site (hardware, installation, and configuration). All prices are in Australian dollars and include GST unless stated otherwise.

Changes to pricing
We may change pricing with at least 30 days' written notice to existing customers. Existing fixed-term agreements are not affected until renewal.

You can cancel SHIELD Up with 30 days' written notice. The FREE Tier can be cancelled at any time from your account dashboard.

10. Warranties and disclaimers
We will provide the Service with reasonable skill and care and aim for high uptime, but we do not guarantee the Service will be uninterrupted, error-free, or that it will catch every drive-off or correctly identify every plate.
The Service is a decision-support tool, not a guarantee against loss. You remain responsible for decisions made at your site, including any decision to confront, refuse service to, or report a customer.
Except as set out in Section 11, the Service is provided "as is" and we exclude all other warranties to the maximum extent permitted by law.
11. Australian Consumer Law
Nothing in these Terms limits, excludes, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other law that cannot be excluded by contract.
Our goods and services come with guarantees that cannot be excluded under Australian Consumer Law. For major failures with the Service you are entitled to cancel and a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage.
12. Liability
To the maximum extent permitted by law, and subject to Section 11:

13. Confidentiality
Each party agrees to keep the other's confidential information confidential and use it only for the purposes of these Terms. This obligation continues for 3 years after termination. It does not apply to information that is public, independently developed, or required to be disclosed by law.
14. Intellectual property
We own all intellectual property in the Service, including software, designs, documentation, and the shared drive-off database (as a compilation). You own the data you upload, subject to the licence in Section 5.
You grant us a non-exclusive, royalty-free licence to use your business name and logo to identify you as a customer in our marketing materials, unless you tell us in writing that you don't want us to.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to customers by email at least 30 daysbefore they take effect. Your continued use of the Service after the change date constitutes acceptance.
